This entity is a Polish Small Payment Institution (SPI), known in Polish law as a Mała Instytucja Płatnicza (MIP), which allows the provision of small and mid-sized payment services within Poland. The SPI framework enables a broad range of payment activities while operating under clearly defined statutory limitations.
The SPI may offer payment services subject to operational caps, including a maximum of €2,000 per client account and a maximum average monthly transaction volume of €1,500,000 across all transactions. Services are restricted to the territory of Poland. No initial capital requirement applies beyond general company law requirements under the Polish Commercial Companies Code, and there are no specific restrictions on shareholders.
If the institution exceeds the monthly transaction limit of €1,500,000, it must, within 30 days from the end of the relevant period, either adjust its business operations to comply with the threshold or apply for a national payment institution license.
The SPI is permitted to conduct payment transactions (including credit transfers and card-based payments), issue payment instruments, provide money remittance services, enable acceptance and execution of payment transactions for merchants (including acquiring-related activities), and accept cash deposits or withdrawals necessary for operating payment accounts.
