These Terms and Conditions (“Terms”) govern access to and use of the websites, products, services, content, tools, applications, data services, marketplaces, and other online offerings operated by Coincub Limited (“Coincub”, “we”, “us”, or “our”), including:

By accessing or using any of the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

1. About Coincub

Coincub Limited is an Irish private company limited by shares registered in Ireland. We operate a crypto-focused publishing, data, and marketplace platform.
These Terms apply to:
• Visitors to our websites.
• Registered account holders.
• Marketplace users, including buyers and sellers.
• Subscribers and users of data.coincub.com.
• Anyone who accesses, views, downloads, posts, or otherwise interacts with our Services.

2. Definitions

In these Terms:
• “Content” means text, graphics, charts, data sets, reports, images, video, audio, software, source code, databases, and other materials made available through the Services.
• “Marketplace” means any product, listing, vendor, or transaction area made available at or through coincub.com/marketplace/.
• “Data Services” means any data products, dashboards, APIs, downloadable files, feeds, reports, subscriptions, or other data offerings made available at or through data.coincub.com.
• “User Content” means any content submitted, uploaded, published, reviewed, or transmitted by a user.
• “Seller” means any third party offering goods, services, listings, or offers through the Marketplace.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.
We may refuse access, suspend accounts, or restrict functionality where we reasonably believe that a user has violated these Terms, applicable law, or the rights of others.

4. Changes to the Services and Terms

We may update, modify, suspend, discontinue, or remove any part of the Services at any time. We may also revise these Terms from time to time. The updated version will take effect upon posting unless a later effective date is stated.
Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

5. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You must notify us promptly if you suspect unauthorized access or misuse.

7. Intellectual Property

All Content, trademarks, logos, design elements, software, databases, and other intellectual property made available through the Services are owned by Coincub Limited or our licensors, unless stated otherwise.
Except for the limited right to access and use the Services in accordance with these Terms, no licence or right is granted to you by implication or otherwise.
You may not copy, reproduce, republish, display, distribute, modify, create derivative works from, or commercially exploit our Content without our prior written permission, except for fair dealing or other rights that cannot legally be excluded.
If we permit quotation, reference, or attribution of our Content, you must not remove any copyright, attribution, or branding notices.

8. User Content

If you submit User Content, you remain responsible for it. You represent and warrant that you have all rights necessary to submit that content and that it does not infringe the rights of any third party.
By submitting User Content, you grant Coincub a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, adapt, publish, translate, display, distribute, and otherwise use that User Content for the purpose of operating, improving, promoting, and administering the Services.
We may remove, edit, refuse, or restrict access to User Content at our discretion where permitted by law.

9. Marketplace Terms

The Marketplace may include third-party listings, offers, links, communications, or transactions. Unless explicitly stated otherwise, Coincub is not the seller, manufacturer, insurer, broker, or provider of any third-party goods or services listed on the Marketplace.

9.1 Third-Party Responsibility

Sellers are solely responsible for:
• The accuracy, legality, and completeness of their listings.
• Product quality, delivery, support, warranties, and after-sales service.
• Compliance with consumer, tax, advertising, export, sanctions, and other applicable laws.
• Resolving disputes with buyers.

9.2 Buyer Responsibility

Buyers are responsible for reviewing listing terms, verifying suitability, and ensuring any purchase or engagement is appropriate for their needs and jurisdiction.

9.3 No Endorsement

Any reference to a seller, product, service, logo, or brand does not imply endorsement, approval, or guarantee by Coincub.

9.4 Payments and Fees

If the Marketplace charges fees, commissions, or subscription charges, those charges will be displayed or otherwise disclosed before you complete a transaction where required by law. Unless we state otherwise, all fees are non-refundable.

9.5 Refunds and Cancellations

Refunds, cancellations, and chargebacks are governed by the relevant listing terms, seller terms, and applicable law. Where Coincub collects payments on behalf of a Seller, our role may be limited to payment processing and administration.

9.6 Prohibited Listings

We may restrict or remove listings that we consider unlawful, misleading, harmful, unsafe, counterfeit, abusive, or otherwise inappropriate.

10. Data Services Terms

The Data Services may include aggregated market information, analytics, reports, downloadable files, dashboards, feeds, and APIs. Unless expressly agreed in writing, all Data Services are licensed, not sold.

10.1 Licence Scope

Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Data Services solely for your internal business or personal use, as applicable to your subscription or plan.

10.2 Restrictions

You must not, unless we expressly permit it in writing:
• Copy, redistribute, scrape, resell, or republish Data Services.
• Build competing products or datasets using our Data Services.
• Cache, mirror, or store substantial portions of the Data Services outside the permitted use case.
• Circumvent technical limits, access controls, or API restrictions.
• Use automated tools to extract data in excess of any stated allowance.

10.3 Accuracy and Availability

We aim to keep information accurate and current, but Data Services may include third-party or dynamic data and may contain errors, omissions, delays, or outdated material. We do not guarantee uninterrupted access, complete accuracy, or fitness for a particular purpose.

10.4 API and Technical Use

If we provide APIs or technical interfaces, you must follow our documentation, authentication rules, rate limits, and security requirements. We may modify, suspend, or withdraw technical interfaces at any time for security, maintenance, or business reasons.

11. Editorial and Informational Content

The Services may include news, analysis, commentary, rankings, comparisons, or educational material. This content is provided for general information only and does not constitute financial, investment, legal, tax, accounting, or other professional advice.
You should not rely on the Services as the sole basis for any decision. You are responsible for obtaining independent professional advice where appropriate.

12. Financial and Crypto Risk Disclaimer

The Services may relate to cryptocurrency, digital assets, financial markets, compliance topics, or market intelligence. Such subject matter can be volatile, incomplete, jurisdiction-specific, and subject to rapid change.
We do not guarantee that any market ranking, score, assessment, or commentary will be suitable for your objectives, lawful in your jurisdiction, or accurate at the time of your use.

13. Third-Party Services

The Services may contain links to third-party websites, tools, products, processors, hosting providers, or services. We are not responsible for third-party content, policies, acts, omissions, or availability.
Your use of third-party services is subject to their own terms and privacy policies.

14. Security

We use reasonable technical and organisational measures to protect the Services and User Content. However, no system is completely secure, and we cannot guarantee absolute security.
You are responsible for your own security practices, including device security, password protection, and review of your own access credentials.

15. Suspension and Termination

We may suspend or terminate access to the Services, without liability and to the extent permitted by law, if we believe you have breached these Terms, created risk, or used the Services unlawfully or abusively.
Upon termination, the rights granted to you under these Terms will immediately cease, except for provisions that by their nature should survive termination.

To the fullest extent permitted by law, Coincub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, business, goodwill, data, or opportunity.
To the extent liability cannot be excluded, our total aggregate liability for all claims arising out of or relating to the Services will be limited to the greater of: (a) the amount you paid to us for the relevant Service in the 12 months before the claim arose; or (b) EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such limitation would be unlawful.

18. Indemnity

You agree to indemnify and hold harmless Coincub, its directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses arising from your breach of these Terms, your User Content, your misuse of the Services, or your violation of law or third-party rights.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Ireland.
The Irish courts will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer law requires otherwise.
