The Securities and Exchange Commission (SEC) Division of Corporation Finance said it would not recommend enforcement action against certain Canton network participants who earn newly minted Canton Coin (CC) without registering the activity under federal securities laws. The decision, dated November 3, affects infrastructure operators and application builders on the network.

    • The SEC staff accepted that Canton Coin derives its value from network activity and market supply and demand.
    • Three groups can earn new tokens: Super Validators, Validators and application providers.
    • The division said its response states an enforcement position and is not a binding legal conclusion.

What the SEC decided on Canton Coin

The SEC, the US securities regulator, applied its March 2026 crypto asset framework to Canton, a blockchain built for transactions between financial institutions while keeping commercial details private. The staff relied on representations made by lawyers for Digital Asset, the network’s developer.

The framework is based on the SEC’s March 17 interpretation, which distinguished digital commodities from securities. It also covered crypto mining, staking and other network activities. The SEC later added guidance through frequently asked questions, including clarifications issued November 2 on decentralized governance.

Minting structure and governance described to the SEC

Under the submitted arrangement, Super Validators run synchronization infrastructure. Validators process and support transactions. Application providers build services connected to the network. Rewards are tied to measurable contributions and distributed through automated minting rounds.

Canton Coin also pays transaction fees, and tokens used for fees are burned afterward. The staff accepted the company’s position that value comes from network activity and supply and demand, not from expectations of profit from the efforts of others.

Digital Asset also described Canton as having no central controlling party. According to its submission, neither the developer nor the Canton Foundation can change the network’s economic parameters alone. Such changes need approval from at least two-thirds of Super Validator Node Operators.

Market reaction and limits of the SEC relief

Andreessen Horowitz’s a16z crypto fund led a $355 million financing round for Digital Asset in June, alongside institutions including BNP Paribas, HSBC and Citadel Securities.

The no-action position covers only the minting arrangements described. It does not automatically exempt other token distributions or investment products. Developers seeking similar treatment would need to show that their network operations, governance and token distribution meet the relevant criteria.
